Dawntreader invests in large and rapidly growing markets with the following criteria:

Size of the market: The market has to be huge and the companies must have multiple revenue streams and flexible business models. We expect our entrepreneurs to make mistakes and to alter their business plans. However, each mistake inevitably reduces the size of the opportunity and potential growth of the company. In a small market, one mistake can significantly impact a company's ability to reach a critical mass. At the end of the day, we need to assess whether your company has the ability to grow from $0 to $50 million in revenues in a five year time frame.

Market growth: The market must be growing rapidly. It is much easier to gain market share in a industry with growth rates in excess of 20% than to steal market share "under the radar" of entrenched competition with excess cash flow and a significant installed customer base.

Scalability: Companies must be highly scalable. We will not invest in capital intensive businesses with huge fixed costs and human capital requirements. Competition: Are you number one or number five? We will not invest in companies which are "me-too" ideas. You need to have a unique and defensible product or service with sustainable competitive advantages and high barriers to entry.

Remember, pioneers get arrows in their backs. There is a fine line between being first to market and being too early. Traditionally, when your product or service requires a significant shift in customer behavior, you will need a significant amount of capital to succeed because much of your time and money will be spent educating the market. If the market potential exists, this will create an excellent opportunity for a competitor to piggyback from your initial, trailblazing efforts and pick you off. Make sure you understand the timing of the market.

Management: The Internet changes rapidly resulting in the need to be flexible with business plans. Competition will be plentiful, technology will change and mistakes will be made. Therefore management must be disciplined and exhibit strong leadership in order to quickly and efficiently react to all opportunities. Burn Rate: We believe that 1998 and 1999 will see consolidation in the Internet space and that the successful Internet companies will be "the ones left standing." As the Internet becomes more pervasive and as we move to a higher bandwidth world, the survivors will be able to reach a wider and more experienced audience. It is important to lock space and mindshare now, but not go overboard on expenses because the best is yet to come. We look for companies that are focused on the most profitable and efficient routes to revenues and customers.

Brand Franchise: We believe strongly in the "brand." Legacy corporations will no longer allow new on-line brands to compete with them. These corporations are now focused on implementing their own Internet strategy, rather than allow another upstart like Amazon.com to take market share. Therefore, competing against legacy companies and building new brands is most likely an expensive and losing proposition. Accordingly, Dawntreader will either focus on industries in which there is no well-established brand or create on-line companies by partnering with existing brands.
